Publisher Agreement

This Publisher Agreement (the "Agreement") is between 3DMA Ltd., doing business as PPCmate, a company registered in Bulgaria under number 202741345 (VAT number BG202741345) with its address at Tri Ushi 12, Sofia 1303, Bulgaria ("PPCmate", "we", "us"), and the person or company that signs up for the PPCmate publisher program ("Publisher", "you").

You accept this Agreement by ticking the consent box when you sign up at https://publishers.ppcmate.com, or by using the program. If you accept for a company, you confirm that you have authority to bind it. This Agreement adds to the PPCmate Terms (https://ppcmate.com/terms/) and Privacy Policy (https://ppcmate.com/privacy/). If they conflict, this Agreement controls for the publisher program.

1. Definitions

  • Portal: the publisher dashboard at https://publishers.ppcmate.com.
  • Site: a website or app you add in the Portal.
  • Zone: an ad placement on a Site that has its own ad tag.
  • Ad Tag: the code, script or link we give you for a Zone.
  • Valid Traffic: impressions, clicks and other events that come from real people genuinely visiting your Site, and that pass PPCmate's traffic-quality and fraud checks.
  • Invalid Traffic: any traffic that is not Valid Traffic (see §7).
  • Earnings: your share of revenue from Valid Traffic under §5.

2. The program

2.1 PPCmate runs an advertising platform. Through the program you can show advertisers' ads on your Sites and earn a share of what advertisers pay.

2.2 Formats. The program currently offers pop-under, direct link, banner (seven standard sizes shown in the Portal), interstitial, native and in-page push. We may add, change or withdraw formats and sizes.

2.3 Your account. You must give accurate information and keep it up to date. You are responsible for everything done through your account, and you must keep your login details secure. One person or company may not open several accounts to get around limits or enforcement.

2.4 Eligibility. You must be at least 18 years old and legally able to enter into this Agreement. You must not be subject to sanctions that prevent us from paying you.

3. Sites and review

3.1 Approval. Sites you add are approved automatically so you can start straight away. We then review each Site, and we may re-check it at any time.

3.2 Not allowed. We will reject or suspend a Site that:

  • contains or promotes illegal content, including child sexual abuse material, illegal weapons or drugs, or hacking services;
  • spreads malware, phishing, scams or deceptive downloads; or
  • is dead, parked, for sale or has no real content.

3.3 Adult sites. Adult sites are allowed, but you must declare them as adult. If we find adult content on a Site declared as mainstream, we may reclassify it as adult and tell you. Repeatedly declaring adult sites wrongly may lead to suspension.

3.4 Ownership. You may add only Sites you own or are authorised to monetise. We may ask for proof, such as an ads.txt entry or a meta tag.

3.5 Our discretion. We may reject, pause or suspend any Site or Zone at any time, including where traffic quality is poor or advertisers object. Where reasonable, we will tell you why.

4. Implementation rules

You must:

4.1 Use Ad Tags as provided. Do not modify, obfuscate, cache, reverse-engineer or wrap Ad Tags. Do not interfere with how they report or count, and do not place them anywhere other than the Zone they were created for.

4.2 Not incentivise traffic. Do not pay, reward or ask users to click or view ads. That includes "click here to support us", rewards, points, unlocks or traffic exchanges. Do not click your own ads.

4.3 Put ads only on real content. Place Ad Tags only on pages that carry your own genuine content. Do not use empty pages, pages made only for ads, auto-refreshing pages, pop-up chains or redirects built to generate impressions.

4.4 Avoid misleading placements. Do not disguise ads as content, download buttons, navigation, video players or system messages. Do not place ads where users will click them by accident, or hide or stack ads out of view.

4.5 Respect limits. Keep the frequency caps, delays and display rules built into each Ad Tag, including interstitial limits. Do not try to show ads more often than the tag allows.

4.6 Get traffic honestly. Do not use bots, scripts, emulators, proxies, VPN or datacenter traffic, spoofed domains or apps, or bought traffic you cannot vouch for.

4.7 Keep ads.txt and sellers.json accurate. Where we ask, add the ads.txt line shown in the Portal to your Site. We may list you in PPCmate's public sellers.json file, and you agree to that listing. Keep the details accurate.

4.8 Follow the law. Comply with the laws that apply to your Sites and your traffic, including consumer protection, privacy and advertising laws.

5. Revenue share

5.1 Default share. You earn 50% of the amount advertisers are charged for Valid Traffic on your Zones.

5.2 How it is calculated. The share is calculated on the amount advertisers are charged, after subtracting any taxes, refunds, chargebacks or credits relating to that traffic. PPCmate's reporting is the basis for all calculations. The Portal statistics are close to real time and may change until they are final.

5.3 Custom shares. PPCmate may agree a different share with you. A custom share applies only if we confirm it in writing, which includes email or a note shown in your Portal account.

5.4 No guarantee. We do not guarantee any fill rate, price, volume or level of Earnings. Advertiser demand varies by format, country, device and content, and may be zero.

6. Payment

6.1 Accrual. Earnings accrue daily once traffic has been processed and checked for quality.

6.2 Schedule and minimum. We pay weekly. Payouts are started on Mondays when your payable balance is at least USD 100. Balances below USD 100 carry over to the following week. Processing normally takes up to 10 business days.

6.3 Methods. You can choose Wise, PayPal, USDT (TRC-20) or bank wire, or another method we agree in writing. Payouts are in US dollars unless we agree otherwise. You are responsible for giving correct payment details. We are not responsible for payments sent to details you provided that turn out to be wrong, and we cannot always recover them.

6.4 Fees. You bear your own bank, transfer, exchange, network (blockchain) and payment-provider fees.

6.5 Disputes. If you think a payment or statement is wrong, tell us within 60 days of the payout date. After that, the statement is treated as accepted.

7. Invalid traffic

7.1 What it covers. Invalid Traffic includes traffic that PPCmate's systems or reviews identify as coming from bots, crawlers, datacenters, proxies or hosting networks; automated, scripted or emulated activity; incentivised, forced, accidental or fake clicks or views; domain, app, device or location spoofing; or any traffic that breaks §4.

7.2 Not billed, not paid. Advertisers are not charged for Invalid Traffic, so you earn nothing on it. It is deducted before Earnings become payable.

7.3 Withholding pending review. If we see signs of Invalid Traffic, we may withhold the Earnings concerned while we investigate. We will try to finish within 60 days. Earnings we confirm as valid are released in the next payout. Earnings we confirm as invalid are not paid.

7.4 Amounts already paid. We do not claw back Earnings we have already paid, except where we establish fraud (for example deliberate bot traffic, click farms or spoofing). In that case we may deduct the fraudulent amounts from unpaid Earnings or ask you to repay them.

7.5 Our decision. Our fraud systems and data decide whether traffic is valid. For security reasons we may not reveal every detection method, but on request we will give you a reasonable summary of the reason.

8. Taxes and company details

8.1 Before your first payout, you must provide your legal name or company name, country, address, and any applicable tax identification. This may include a VAT number and, where we request it, a US tax form (W-9 for US persons, W-8BEN for non-US individuals, or W-8BEN-E for non-US entities). We may hold payouts until you provide these details.

8.2 You are solely responsible for declaring and paying all taxes on your Earnings. Where the law requires, we may withhold tax from payouts or issue self-billed invoices on your behalf.

8.3 Earnings amounts include any VAT or similar tax that may apply, unless the law requires otherwise.

8.4 Invoices. Where you issue an invoice for your Earnings, address it to: 3DMA Ltd. (DBA PPCmate), Tri Ushi 12, 1303 Sofia, Bulgaria, VAT number BG202741345. Send invoices to finance@3dma.co. The invoice must show the payout period, the amount in USD matching your Portal payout request, and your own tax details.

9. Content and advertiser policies

9.1 Your content. Your Sites must follow §3.2 and §3.3. You are responsible for your content.

9.2 Ads. Advertisers are responsible for their ads, and we screen them for illegal content, malware and scams. If an ad appears harmful or inappropriate, report it to support@ppcmate.com with the Zone and a screenshot, and we will review it.

9.3 Brand safety. Advertisers may choose not to appear on certain Sites or categories, including adult content. That can affect your fill and Earnings.

10. Intellectual property

10.1 We give you a limited, non-exclusive, non-transferable and revocable right to use the Ad Tags and the Portal for the program during this Agreement.

10.2 You allow us to use your Site names, domains and URLs to run, report on and list inventory for the program, including in sellers.json and advertiser reports.

10.3 Neither party gets any other rights in the other's trademarks, software or content.

11. Data and privacy

11.1 What the tags process. To deliver ads, measure them and detect fraud, Ad Tags and our servers process technical data about visitors to your Sites. This includes IP address, user agent, device and browser signals, page URL and referrer, and interaction events such as impressions and clicks. PPCmate handles this data as described in its Privacy Policy.

11.2 Your responsibilities. You are responsible for your Sites' privacy notices and for any consent required by law, including under the GDPR, the ePrivacy rules and the CCPA/CPRA. You must tell visitors that third-party advertising and fraud-detection technology is used, and you must obtain consent where it is required before Ad Tags load.

11.3 Your account data. We use your account, payment and tax details to run the program, pay you and meet our legal obligations, as set out in the Privacy Policy.

12. Confidentiality

12.1 Your revenue share, any custom terms, non-public pricing, fill and performance data, and non-public information about our systems (including fraud detection) are confidential.

12.2 You must not disclose confidential information to anyone except your professional advisers, or where the law requires it. This duty lasts for two years after the Agreement ends, and indefinitely for fraud-detection information.

13. Warranties and indemnity

13.1 Each party confirms that it has the right to enter into this Agreement.

13.2 You confirm that your Sites, content and traffic comply with this Agreement and the law.

13.3 The program, the Portal and the Ad Tags are provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including uninterrupted service, fill or Earnings.

13.4 You will indemnify PPCmate against third-party claims, fines and reasonable costs arising from your Sites, your content, your traffic, your breach of this Agreement, or your failure to obtain required consents.

14. Limitation of liability

14.1 Neither party is liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, revenue, data or goodwill.

14.2 PPCmate's total liability under this Agreement is limited to the greater of (a) the Earnings paid to you in the three months before the claim, or (b) USD 100.

14.3 Nothing in this Agreement limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct. It also does not limit your liability for fraud, for breaching §4 or §7, or under §13.4.

15. Term and termination

15.1 This Agreement begins when you accept it and continues until either party ends it.

15.2 Ending the Agreement. Either party may terminate at any time for any reason by closing the account or giving notice through the Portal or to support@ppcmate.com. You must remove all Ad Tags promptly.

15.3 Final payout. After termination, we will pay the valid Earnings that are due, in the normal payout cycle, if they are at least USD 100. This excludes Earnings from Invalid Traffic, Earnings under review (§7.3), and Earnings connected with fraud or a serious breach.

15.4 Sections 6.5, 7, 8, 12, 13, 14, 15.3 and 18 continue to apply after termination.

16. Suspension

We may suspend your account, Sites or Zones immediately if we reasonably suspect a breach of this Agreement, Invalid Traffic or a legal risk. While an account is suspended, we may withhold the affected Earnings under §7.3.

17. Changes to this Agreement

We may update this Agreement. We will give at least 14 days' notice of material changes by email or in the Portal. Changes needed for legal or security reasons may apply sooner. Each version has a version date. If you keep using the program after a change takes effect, you accept it. If you do not agree, you may terminate under §15.

18. Governing law and disputes

18.1 This Agreement is governed by the laws of Bulgaria.

18.2 Before going to court, both parties will try to settle any dispute in good faith for 30 days. Disputes that are not settled go to the competent courts in Sofia, Bulgaria, unless mandatory law gives you the right to another forum.

19. General

19.1 Relationship. The parties are independent contractors. This Agreement does not create a partnership, employment or agency relationship.

19.2 Assignment. You may not transfer this Agreement without our written consent. We may transfer it to an affiliate or to a successor of our business.

19.3 Entire agreement. This Agreement, the PPCmate Terms, the Privacy Policy and any written custom terms make up the whole agreement for the program.

19.4 Severability and waiver. If a provision is invalid, the rest of the Agreement still applies. Not enforcing a right is not a waiver of it.

19.5 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages at payment providers or supply partners.

19.6 Notices and language. We send notices to your account email or show them in the Portal. You send notices to support@ppcmate.com. The English version of this Agreement controls.
