ChatGPT Ads Advertising Terms

These ChatGPT Ads Advertising Terms (the “Channel Terms“) supplement the PPCmate Terms of Service and apply whenever you create, submit or run advertising campaigns on ChatGPT Ads through PPCmate. They are between 3DMA Ltd., doing business as PPCmate, a company registered in Bulgaria under number 202741345 (VAT number BG202741345) with its address at Tri Ushi 12, Sofia 1303, Bulgaria (“PPCmate“, “we“, “us“), and you, the advertiser (“you“, “Advertiser“).
Where these Channel Terms conflict with the PPCmate Terms of Service, these Channel Terms govern for ChatGPT Ads campaigns.
1. The Channel
ChatGPT Ads is an advertising service operated by OpenAI (the “Channel Operator“). PPCmate acts as an advertising intermediary: we submit, manage and support your campaigns on the Channel on your behalf. PPCmate does not own, control or guarantee any advertising inventory on the Channel.
2. Channel terms and policies bind you
By submitting a campaign to ChatGPT Ads you agree to be bound by the Channel Operator’s terms and policies as if you had entered into them directly, and you authorise both PPCmate and the Channel Operator to provide the advertising services in respect of your campaigns. Those terms and policies are:
These documents are updated by the Channel Operator from time to time and the current version applies to every campaign you submit.
3. Direct enforcement by the Channel Operator
You agree that the Channel Operator may enforce these Channel Terms and its own advertising terms directly against you. The Channel Operator is an intended third-party beneficiary of this Section.
4. Your representations and warranties
For every campaign you submit you represent and warrant that:
- you are a legally existing entity or individual, eligible to advertise your products and services in each jurisdiction you target, and you hold any licence, registration or authorisation required to do so;
- you are not subject to applicable sanctions and do not appear on any applicable government restricted-party list;
- your campaign, creatives, destinations and products comply with applicable law, with the Channel Operator’s advertising policies and usage policies, and with these Channel Terms;
- you hold all rights, licences and consents necessary for the content you submit, including trademarks, images and any third-party material; and
- you have authority to enter into these Channel Terms.
You will provide evidence of any of the above on request, and you will tell us promptly if any of it ceases to be true.
5. Prohibited and restricted advertising
The Channel Operator’s policies determine what may be advertised. At the date of these Channel Terms, categories that are not permitted include adult content and dating, gambling and real-money wagering, alcohol and tobacco or nicotine products, recreational drugs, counterfeit or replica goods, weapons, political and electoral advertising, and advertising that is misleading, deceptive or fraudulent.
Advertising that imitates ChatGPT or any OpenAI interface, or that states or implies that you are, are endorsed by, or are officially affiliated with OpenAI without written authorisation, is prohibited.
Certain categories — including financial services, healthcare and medicine, and legal services — are restricted and may be permitted only for approved advertisers, only in certain territories, and only on a case-by-case basis. Proof of licensure may be required.
This summary is provided for convenience. The Channel Operator’s published policies govern, and they change over time.
6. Consistency end to end
Your advertising must be consistent with its destination. A campaign may not link to a landing page, offer or product that would not itself be permitted under the Channel Operator’s policies, and your destination must remain compliant for as long as the campaign runs.
7. Review, refusal and removal
PPCmate reviews campaigns before submitting them and may refuse, pause or remove any campaign at its discretion. The Channel Operator independently reviews, approves, rejects, suspends or removes campaigns, advertisers, creatives and destinations, for any reason and at any time.
Neither PPCmate nor the Channel Operator guarantees acceptance, delivery, placement, volume, spend or performance. Approval of a campaign is not a warranty that it complies with any law or policy, and does not transfer responsibility for compliance away from you.
8. Accounts and credentials
Campaigns may be operated through advertising accounts and API credentials held by PPCmate. Those accounts and credentials remain ours, are not sold, transferred, sublicensed or made available to you, and give you no right in or ownership of advertising inventory.
9. Fees, funding and taxes
You are responsible for all Channel spend attributable to your campaigns, together with PPCmate’s applicable margin as shown in your account. PPCmate may require funds in advance of running Channel campaigns and may pause campaigns where available funds are insufficient.
PPCmate’s payment obligations to the Channel Operator are independent of your payment to PPCmate. Amounts payable are exclusive of taxes, which you are responsible for where applicable.
10. Measurement and reporting
Campaign metrics, spend and conversion data are determined by the Channel Operator’s measurement, and those figures govern for billing and reporting. The Channel Operator may provide reporting relating to your campaigns to PPCmate and, where applicable, to you.
11. Suspension and termination
PPCmate may suspend or terminate your access to ChatGPT Ads immediately where we reasonably suspect a breach of these Channel Terms or of the Channel Operator’s policies, where the Channel Operator requires it, or where continuing would place PPCmate’s advertising accounts at risk. Campaigns already submitted may be paused, archived or removed.
12. Indemnity
You will indemnify PPCmate against any claim, loss, fine or expense arising from your campaigns, creatives, destinations or products, from your breach of these Channel Terms, or from your breach of the Channel Operator’s terms or policies.
13. Changes
We may update these Channel Terms, including to reflect changes made by the Channel Operator. The current version applies to campaigns submitted after it is published on this page.
